Terms of Service

These terms apply to all services Universal Vocabulary provides to businesses, in particular image production for online sellers (Fashion) and short-form video production (Studio).
1. Scope
1.1 Our services are offered exclusively to businesses, not to consumers. By placing an order, you confirm that you are acting in the course of your trade or business.
1.2 These terms apply to every order. Your own terms and conditions do not apply, even if we do not expressly object to them.
1.3 The provider is Universal Vocabulary, Markus Kölschbach. Contact details are in our legal notice.
2. Orders
2.1 An order is concluded when we confirm it by email. We may decline any order, or stop working with any customer, at our discretion and without giving reasons.
2.2 Free tests are offered without obligation on either side.
3. Your material and your rights
3.1 You send us the photographs and other material needed for an order. You confirm that you hold all rights required for us to use and edit this material for the order, including the rights of any person shown.
3.2 You indemnify us against all claims by third parties arising from the material you provide.
4. Our work
4.1 We produce images and videos with the help of generative AI. Every result is checked by a person before delivery.
4.2 Not every item can be rendered well. Items that do not meet our quality standard are not delivered and not charged. We do not owe a result for every item submitted.
4.3 Delivered images carry machine-readable metadata identifying them as AI-generated or AI-edited (IPTC Digital Source Type). Please do not remove this metadata.
4.4 Delivery times are estimates, not binding deadlines.
5. Prices and payment
5.1 Prices are per delivered image, as stated on our website or agreed in writing. All prices are net.
5.2 Payment terms are agreed for each customer and stated in the order confirmation, for example the advance purchase of credits, a deposit with the balance due on delivery, or payment before the final files are released. We may withhold delivery until payment has been received.
5.3 Items that are not delivered are not charged. Where credits are used, one credit is deducted per delivered image.
6. Your responsibilities after delivery
6.1 Please review every image before publishing it. You are responsible for how and where you use the images, including any labelling of AI-generated content required by law or by the platforms you sell on.
6.2 Images must represent your products accurately. You are responsible for your product descriptions and for any statements made to your buyers.
7. Rights to the results
7.1 Upon full payment, you receive a non-exclusive, worldwide, unlimited right to use the delivered images for presenting and selling your products.
7.2 We may show delivered images as examples of our work only with your consent.
8. Complaints
Please tell us within 7 days of delivery if an image does not meet the agreed standard. We will, at our choice, replace the image or refund its price. This is your sole remedy for defective images.
9. Liability
9.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where liability cannot be limited by law.
9.2 In all other cases, our liability is limited to the price paid for the order concerned. We are not liable for indirect damages, loss of profit or lost sales, or for measures taken by platforms, search engines or marketplaces, such as the rejection of listings or the suspension of accounts.
10. Confidentiality and data
We treat your material confidentially and use it only to fulfil your order. Details on personal data are in our privacy policy.
11. Final provisions
11.1 These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
11.2 The place of jurisdiction is Bonn, Germany.
11.3 Should any provision be invalid, the remaining provisions remain in effect.
